1. Introduction

These Terms and Conditions (“Terms”) govern the relationship between Elite Coast, a yacht brokerage operating under the brand “Elite Coast” (“Broker,” “We,” or “Us”) and any individual or entity engaging our services (“User,” “Client,” “You,” or “Your”). By accessing our website, contacting us, or engaging our services, you agree to be bound by these Terms.

2. Services Offered

Elite Coast provides the following services:

  • Yacht Sales Brokerage: Facilitating the purchase and sale of yachts and vessels

  • Yacht Charter Facilitation: Connecting vessel owners with qualified charterers

  • Yacht Management Services: Assisting with vessel management and operational oversight

  • Consulting and Valuation: Providing market analysis, valuation assessments, and brokerage consultation

3. Commission and Fees

3.1 Sales Commission Structure

For yacht sales transactions, Elite Coast charges a tiered commission based on the purchase price of the vessel:

3.2 Commission Payment

The seller of the vessel is responsible for paying the brokerage commission in full at the time of sale completion. Commission is calculated on the final sale price and becomes due upon vessel delivery or transfer of ownership, whichever occurs first.

3.3 Additional Fees

Clients may be subject to additional fees for specialized services such as valuation reports, surveying coordination, or detailed market analysis. These fees will be quoted and agreed upon in writing before services are rendered.

4. User Obligations

Users engaging Elite Coast services agree to:

  • Provide accurate and complete information about vessels, ownership, financing, and transaction details

  • Respond promptly to inquiries and maintain open communication with Broker representatives

  • Disclose any material defects, liens, encumbrances, or legal issues affecting the vessel

  • Ensure all representations regarding vessel condition, ownership, and documentation are truthful

  • Not engage in fraudulent, deceptive, or illegal activities in connection with any transaction

5. Broker Responsibilities and Limitations

5.1 Services Provided

Elite Coast will use commercially reasonable efforts to facilitate negotiations, coordinate communications, and guide transactions to completion. We do not, however, provide legal or financial advice.

5.2 Professional Limitations

Elite Coast does not:

  • Verify or guarantee vessel seaworthiness, mechanical condition, or structural integrity

  • Provide legal or professional surveying services (we coordinate these services with qualified professionals)

  • Guarantee specific transaction timelines or outcomes

  • Serve as custodian of funds or handle escrow without explicit written agreement

6. Confidentiality

Elite Coast agrees to treat all client information—including vessel details, pricing, ownership information, and buyer/seller identities—as confidential. We will not disclose sensitive information to third parties without express written consent, except where required by law or to facilitate a legitimate transaction.

Clients are expected to maintain confidentiality regarding transaction terms and other sensitive information exchanged during our engagement.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELITE COAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF OUR SERVICES OR FROM ANY TRANSACTION FACILITATED BY OUR BROKERAGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY IS LIMITED TO THE AMOUNT OF COMMISSION OR FEES PAID BY THE CLIENT.

8. Intellectual Property

All content on our website, marketing materials, photographs, listings, and proprietary analyses are the exclusive property of Elite Coast. Clients agree not to reproduce, distribute, or commercialize any Elite Coast materials without written permission.

Photographs and descriptions of listed vessels remain the property of Elite Coast unless otherwise agreed in writing.

9. Dispute Resolution

9.1 Governing Law

These Terms and all transactions facilitated by Elite Coast shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

9.2 Jurisdiction

All disputes, claims, or grievances arising from these Terms or transactions shall be subject to the exclusive jurisdiction of the courts of Dubai or Abu Dhabi, as applicable. Users agree to submit to the personal jurisdiction of these courts and waive any objection to venue.

9.3 Dispute Resolution Process

Before initiating litigation, parties agree to attempt good-faith negotiation to resolve disputes. If negotiation fails, either party may pursue legal remedies through the courts of Dubai or Abu Dhabi as identified above.

10. Termination

Either party may terminate the broker-client relationship by providing written notice. Termination does not affect obligations incurred prior to the effective date of termination, including commission obligations on completed or substantially progressed transactions.

Elite Coast reserves the right to decline representation or terminate the relationship with any client who violates these Terms, engages in illegal activity, or whose conduct is unethical or harmful to our business.

11. Modifications to Terms

Elite Coast reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website or upon written notification to clients. Continued engagement with our services following such modifications constitutes acceptance of the revised Terms.

12. General Provisions

12.1 Entire Agreement

These Terms, along with any written broker agreement or Yacht Finder Agreement, constitute the entire agreement between the parties regarding the services provided by Elite Coast.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full effect.

12.3 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by Elite Coast. Failure to enforce any right shall not constitute a waiver of that right.

12.4 Assignment

Clients may not assign these Terms or delegate any obligations without prior written consent from Elite Coast. Elite Coast may assign these Terms to affiliated entities or successor organizations.
